CESAR® BRAND "GUESS THE TRICK, WIN THE TREATS" SWEEPSTAKES

OFFICIAL RULES

NO PURCHASE NECESSARY. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. SWEEPSTAKES BEGINS AT 12:00:01 AM (ET) ON 10/5/2006 AND ENDS AT 11:59:59 PM (ET) ON 11/1/2006 (THE "PROMOTION PERIOD").

1. HOW TO ENTER: Each entrant must register on the CESAR® Brand website (the "Site") at http://www.cesar.com/register.aspx (or log on if he/she is an existing user). Once logged in, the entrant must read the "Guess the Trick, Win the Treats" mystery (the "Mystery") posted on the Site. At the start of each Weekly Drawing Period (as defined below), a new clue to help solve that week's part of the Mystery (a "Clue") will be posted to the Site. After reading the Clue, entrants will be asked to guess the answers to two questions about that part of the Mystery. An entrant must answer both questions in order to enter the Sweepstakes. After answering both questions, whether correctly or incorrectly, the entrant will receive one entry into the Grand Prize Drawing (as defined below). If both questions are answered correctly , the entrant will also receive one entry into the Weekly Prize Drawing (as defined below). Limit one Grand Prize Drawing entry and one Weekly Prize Drawing entry per email address per day, up to a maximum of seven (7) Grand Prize Drawing entries per week, and seven (7) Weekly Prize Drawing entries per Weekly Drawing Period (assuming correct answers to both questions). The "Weekly Drawing Periods" are as follows: 12:00:01 AM (ET) on 10/5/2006 to 11:59:59 PM (ET) on 10/11/2006; 12:00:00 AM (ET) on 10/12/2006 to 11:59:59 PM (ET) on 10/18/2006; 12:00:00 AM (ET) on 10/19/2006 to 11:59:59 PM (ET) on 10/25/2006; and 12:00:00 AM (ET) on 10/26/2006 to 11:59:59 PM (ET) on 11/1/2006 (each, a "Weekly Drawing Period"). WEEKLY PRIZE DRAWING ENTRIES MUST BE RECEIVED BY 11:59:59 PM (ET) ON 10/11/2006, 10/18/2006, 10/25/2006, AND 11/1/2006 RESPECTIVELY. GRAND PRIZE DRAWING ENTRIES MUST BE RECEIVED BY 11:59:59 PM (ET) ON 11/1/2006. No illegible, incomplete, forged or altered entries will be accepted. All entries become the exclusive property of Masterfoods USA and will not be returned.

2. SELECTION OF WINNERS: A random drawing will be conducted from all eligible entries received during each Weekly Drawing Period on or about 10/11/2006, 10/18/2006, 10/25/2006, and 11/1/2006 respectively (each, a "Weekly Prize Drawing"). Entries from one Weekly Drawing Period will not be included in any subsequent Weekly Drawing Period. In addition, a random drawing will be conducted from all eligible entries received during the Promotion Period on or about 11/3/2006 (the "Grand Prize Drawing"). Winners will be determined for each of the Weekly Prize Drawings and the Grand Prize Drawing by Ventura Associates, an independent judging organization whose decisions are final on all matters relating to this Sweepstakes. Winners will be notified by mail or overnight delivery.

3. PRIZES AND ODDS: One (1) Grand Prize: A 4-day/3-night trip for two (2) people and one dog to Barnstable, MA ("Prize Trip"). Prize Trip includes round-trip coach airfare for two (2) people and one (1) dog from major airport nearest winner's home (as determined by Sponsor) to Barnstable, MA (or round-trip limousine transportation from winner's home if winner resides within 250 miles of Barnstable, MA (as determined by Sponsor)); 3-nights' accommodations (1 room/double occupancy) for two (2) people and one (1) dog at the Lamb & Lion Bed and Breakfast in Barnstable, MA (subject to availability and restrictions imposed by the bed and breakfast); a four (4)-day full-size car; one (1) in-room pet-friendly treat basket, including treats, food, toys and other dog-related accessories (actual items may vary based upon availability and size of dog); a $100.00 gift certificate for the dog at The Tails of Cape Cod animal salon, for use towards spa services including a bath selection with a choice of signature shampoos, hair cut, blow dry, brush out, hot oil treatment, nail trim, and nail painting; and one (1) three-course dinner for two, to be awarded as a gift certificate for use at winner's choice of the following local restaurants: Red Pheasant, Abbicci Contemporary Mediterranean Bistro, or The Regatta of Cotuit on Cape Cod. Winner, guest and dog must travel together on same itinerary, and travel must occur on dates specified by Sponsor or alternate winner will be selected. All elements of Prize Trip are subject to availability, blackout dates and travel restrictions. Winner must provide airline-approved carrier for the dog and current medical/shot records as required by airline. Carrier must fit under the winner's seat on plane, or dog and carrier must be stowed in the cargo hold of the plane, weather permitting. Sponsor not responsible for any injury to dog. Transport of dog subject to all related airline restrictions. Car rental subject to winner and/or trip participant holding a valid driver's license and qualifying as an eligible driver under applicable car rental company policy (including the attainment of age 25) and other rental car company terms and conditions. Car rental does not include gas, tolls, parking fees, collision waiver insurance, or any other related fees. Subject to car rental company terms and conditions. All other expenses not included in the prize description above (including, but not limited to, additional ground transportation, taxes, fees, gratuities, meals, tips and insurance) will be the responsibility of the winner. Approximate Retail Value ("ARV"): $3,898. Four (4) Weekly Prizes: A CESAR® Brand Goodie Bag, including a Victoria's Secret Pink Collar & Leash Set, a $90 Zissou & Spike Gift Certificate, an issue of Hollywood Dog Magazine, an issue of New York Dog Magazine, 3 cans of CESAR® Canine Cuisine, a Sniffany Plush toy, and Shea Butter Shampoo. ARV: $170. Total ARV of all prizes: $4,578. Odds of winning depend upon the number of eligible entries received. All prizes will be awarded (assuming sufficient number of eligible entries). Limit one prize per family or household. Sponsor reserves right to substitute prizes of equal or greater value. No other substitution or transfer of prizes permitted. Sponsor responsible only for prize delivery; not responsible for prize utility, quality or otherwise. Taxes and fees, if any, are the sole responsibility of prize winners.

4. ELIGIBILITY: Sweepstakes open to individual legal residents of the United States (excluding Puerto Rico and U.S. territories and possessions), age 18 or older as of 10/5/2006 except employees (and their immediate families and members of the same household) of Sponsor, its affiliates, agents, judges and advertising and promotion agencies.

5. VERIFICATION OF WINNERS AND DELIVERY OF PRIZES: Winners will be required to sign an affidavit of eligibility and liability release and, where permitted, a publicity release. Trip participant must sign travel release. Prize may be awarded to alternate winner if affidavit/release(s) is not returned within 14 days after mailing to winner or if prize notification or prize is returned as undeliverable. If Grand Prize is won by a minor, it may be awarded in the name of a parent or legal guardian in Sponsor's sole discretion. Winners agree to use of name, address, likeness, and/or prize information for promotional purposes in any medium without additional compensation to the extent permitted by law, any such use with respect to minors to be subject to prior approval of parent or legal guardian.

6. GENERAL: This Sweepstakes is void outside the United States and where prohibited or restricted by law and subject to all applicable federal, state and local laws and regulations. This Sweepstakes will be governed by the internal laws of the State of Delaware. Any and all legal actions or claims arising in connection with this Sweepstakes must be brought in a court of competent jurisdiction within the United States of America. Sponsor and judges not responsible for late, lost, stolen, damaged, garbled, incomplete, misaddressed, postage due, or misdirected entries, mail or communications, for errors, omissions, interruptions, deletions, defects, or delays in operations or transmission of information, in each case whether arising by way of technical or other failures or malfunctions of computer hardware, software, communications devices, or transmission lines or data corruption, theft, destruction, unauthorized access to or alteration of entry materials, loss or otherwise. Further, Sponsor and judges not responsible for electronic communications which are undeliverable as a result of any form of active or passive filtering of any kind, or insufficient space in entrant's e-mail account to receive e-mail messages. The use of automated software or computer programs to register or to enter the Sweepstakes is prohibited and any individual who uses or attempts to use such methods to register or to enter will be disqualified. Sponsor disclaims any liability for damage to any computer system resulting from participation in, or accessing or downloading information in connection with, this Sweepstakes, and reserves the right, at its sole discretion, to modify, cancel, terminate or suspend this Sweepstakes should any virus, bug, technical failures, unauthorized human intervention or other causes beyond Sponsor's control corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes. In the event of any such cancellation, termination or suspension, a notice will be posted and a random drawing will be held from among all eligible, non-suspect entries received prior to such time. Sponsor reserves the right, at its sole discretion, to disqualify any entrant (and all of his or her Sweepstakes entries) from this Sweepstakes or any other promotion conducted now or in the future by Sponsor or any of its affiliates if he tampers with the entry process or if his or her fraud or misconduct affects the integrity of the Sweepstakes. Sponsor reserves the right to correct clerical or typographical errors in promotional materials. By participating in this Sweepstakes, each entrant accepts the conditions stated in these Official Rules, agrees to be bound by the decisions of the judges and warrants that s/he is eligible to participate in this Sweepstakes. By accepting prize, winners agree to release Sponsor, its directors, employees, officers, and agents, including without limitation, its advertising and promotion agencies, from any and all liability, loss or damages arising from or in connection with the awarding, receipt, and/or use or misuse of prize or participation in any prize-related activities.

7. CAUTION. ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.
